Terms of Service

These Terms of Service ("Terms") are between you and the operator of PopupNeko ("we", "our", or "us"). They govern our website, dashboard, popup script, integrations, public verification pages, and related services (the "Service").
By creating an account, connecting an integration, starting a trial or subscription, installing the popup script, or otherwise using the Service, you agree to these Terms and acknowledge our Privacy Policy.
1. Eligibility, Accounts, and Security
You must be at least 18 years old and legally able to enter a binding contract where you live. If you use PopupNeko for a company or organization, you confirm that you can accept these Terms on its behalf, and "you" includes that organization.
Provide accurate account information and protect your authentication methods, credentials, and access. You are responsible for account activity. Do not share access to bypass plan limits or use another person's account without permission. Contact contact@popupneko.com promptly if you suspect unauthorized access.
2. The Service and Your Responsibilities
PopupNeko helps merchants display social-proof popups based on eligible purchases, subscriptions, reviews, and related activity. It may also provide setup status, aggregated analytics, and public merchant verification pages. Features, providers, limits, and availability may change over time.
You are responsible for the websites, domains, projects, integrations, settings, and content you connect. You must have the rights and permissions needed to use each domain, credential, product, image, review, event, or other material you provide.
Your use must comply with applicable privacy, consumer-protection, advertising, accessibility, cookie, consent, and platform requirements. You are responsible for required notices and consent for the popup script, storage, analytics, or public content.
3. Integrations and Public Displays
You authorize PopupNeko to use connected credentials for documented read operations that validate integrations and provide configured features. Use the most limited credential your provider supports. Some providers issue technically broader credentials even though PopupNeko uses them only for read operations. You must review, rotate, and remove credentials when appropriate. We may reject unsafe, invalid, or unsupported credentials.
When enabled, PopupNeko may publicly display configured information such as an approximate customer location, product, event time, provider, review excerpt, rating, reviewer attribution, or review link. Verification pages may show your merchant name, domain, website icon, script status, verification sources, and confirmation dates. You are responsible for reviewing these displays and ensuring they are accurate, appropriate, and permitted.
"Verified" means eligible information was confirmed against a supported source. It is not an endorsement or guarantee of a merchant, product, reviewer, transaction, claim, quality, legality, delivery, or purchase outcome.
4. Your Content, Privacy, and Data Processing
You own the content you provide. You grant PopupNeko a limited, non-exclusive, worldwide license to host, process, format, and display it as needed to provide, secure, support, and improve the Service. You confirm that your content and our use do not violate another person's rights or applicable law. We may remove content that violates these Terms or creates risk.
Our Privacy Policy explains how we handle information. You determine the sources, settings, and display choices for information processed for your website and are responsible for those instructions. You authorize PopupNeko and its providers to process that information to provide the Service. Contact us before submitting regulated personal information if you require a separate data processing agreement.
5. Trials, Billing, Cancellation, and Refunds
Stripe processes paid plans, trials, subscriptions, invoices, and payment methods. By starting a trial or subscription, you accept the plan, price, currency, billing interval, renewal terms, limits, and taxes shown before checkout.
An eligible new customer may choose one 14-day Starter trial. Stripe collects a payment method at checkout. Unless canceled before the trial ends, the Starter subscription begins automatically and Stripe charges the displayed monthly or yearly price. Customers with prior PopupNeko trial or subscription history are not eligible for another trial. Growth plans and Starter plans without a trial are charged immediately.
Subscriptions renew automatically for the selected interval until canceled. Applicable plan changes, prorations, and amounts due are shown before confirmation. We may change future prices with reasonable advance notice, effective no earlier than your next renewal unless you agree otherwise.
You can manage or cancel an eligible subscription through your account and Stripe's billing portal. Cancellation stops future renewals; unless otherwise stated or required by law, access continues through the current trial or paid period. Removing the popup script does not cancel billing.
After a failed payment, we may retry the charge, provide a limited grace period, restrict paid features, or suspend access based on Stripe's subscription status. You remain responsible for amounts incurred before cancellation or suspension. Completed payments are non-refundable unless required by law or expressly approved by PopupNeko.
6. Acceptable Use
You may not use PopupNeko to:
- Create or display fake, misleading, unlawful, or harmful social proof
- Misrepresent ownership of a website, integration, transaction source, product, or review
- Violate privacy, intellectual-property, consumer-protection, advertising, or other rights or laws
- Upload malware; interfere with the Service or another user; or bypass security, authentication, rate limits, billing controls, or plan restrictions
- Scrape, copy, reverse engineer, resell, or exploit the Service except where applicable law expressly permits it
- Harass, discriminate, defraud, impersonate, or cause harm
7. Third-Party Services and Availability
PopupNeko relies on third parties for hosting, authentication, storage, email, payments, integrations, and infrastructure. Their own terms and policies apply. We are not responsible for their outages, API changes, account restrictions, inaccurate data, or actions, and may stop supporting an unsafe or impractical integration.
The Service is provided "as is" and "as available" to the fullest extent permitted by law. We do not guarantee uninterrupted operation, permanent storage, complete provider data, verification results, compatibility, or increased conversion, sales, revenue, reputation, or trust. Maintain necessary backups. Nothing excludes a right that cannot legally be excluded.
8. PopupNeko Intellectual Property
PopupNeko's software, design, branding, documentation, and related materials belong to us or our licensors. These Terms provide only a limited right to use the Service. You may not copy, distribute, modify, sell, sublicense, or create derivative products unless we give written permission or applicable law permits it.
9. Suspension and Termination
We may restrict, suspend, or terminate access if you violate these Terms, fail to pay, create security or legal risk, use misleading data, abuse the Service, or if continued operation is no longer reasonably practical. When appropriate, we will provide notice and an opportunity to correct the issue.
You may stop using PopupNeko at any time, but must cancel your subscription separately to stop renewal. You may delete projects and request account deletion. After termination, we may delete information after a reasonable period, subject to backup, billing, dispute, security, and legal-retention needs. Ownership, disclaimers, liability limits, indemnity, and accrued payment obligations survive.
10. Limitation of Liability
To the fullest extent permitted by law, PopupNeko and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, opportunities, goodwill, or business interruption related to the Service.
Our total aggregate liability for all claims related to the Service will not exceed the amount you paid PopupNeko during the 12 months before the event giving rise to the claim, or US$100 if you paid nothing during that period. These limits apply regardless of legal theory and even if a remedy fails its essential purpose, but not where liability cannot legally be limited.
11. Indemnity
To the extent permitted by law, you will indemnify PopupNeko and its suppliers against third-party claims, damages, and reasonable costs arising from your websites, content, integrations, credentials, instructions, or legal or Terms violations. We will provide reasonable notice and allow you to participate in the defence. You may not settle in a way that admits PopupNeko's fault or imposes obligations on us without written consent.
12. Changes, General Terms, and Contact
We may update these Terms as the Service or applicable requirements change. We will post a revised effective date and provide additional notice for material changes. Changes apply prospectively. If you disagree, stop using the Service and cancel any subscription before they take effect.
These Terms and the Privacy Policy are the entire agreement about the Service. If a provision is unenforceable, it will be limited as necessary and the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without consent; we may assign them during a reorganization, financing, merger, acquisition, or Service transfer. Neither party is responsible for delays beyond its reasonable control, except for incurred payment obligations.
